This Research-Use Agreement governs your purchase and use of research compounds from Perplexa Labs. By accessing the Site, which requires affirmative researcher verification, creating an account, and completing the order confirmation checkboxes at the Review & Place Order step, you are deemed to have read, understood, and agreed to be bound by this Agreement.
1. What you are buying
The compounds offered for sale by Perplexa Labs are research chemicals intended exclusively for laboratory research and in vitro experimental use by qualified researchers.
These compounds are NOT:
- Drugs
- Dietary supplements
- Food
- Cosmetics
- Medical devices
- Veterinary products
- Approved for human consumption in any form
- Approved for animal consumption in any form
- Approved by the U.S. Food and Drug Administration, FDA, for any therapeutic, medical, diagnostic, or preventive purpose
2. Who can purchase
To purchase from Perplexa, you must:
- Be at least 21 years of age.
- Be a qualified researcher, including academic researchers, laboratory or institutional researchers, clinical professionals, graduate or PhD students, or other individuals with legitimate research credentials.
- Have a legitimate research purpose.
- Maintain access to appropriate laboratory infrastructure.
- Comply with all applicable federal, state, and local laws.
You will verify these criteria at multiple points: at site entry, during account creation through DOB and researcher role, and at the Review & Place Order step.
3. What you agree to do
You agree to use Perplexa products exclusively for:
- In vitro research: Studies conducted in test tubes, culture dishes, or other artificial laboratory settings outside of a living organism.
- Analytical method development: Testing analytical procedures using research compounds as reference materials.
- Reference standards: Use as comparison standards in laboratory characterization.
- Cell culture research: Studies on cell lines or tissue cultures.
- Other legitimate scientific research.
You agree to handle, store, label, and dispose of all Perplexa products in accordance with applicable laboratory safety standards.
4. What you agree NOT to do
You agree that you will NOT:
- Administer Perplexa products to any human subject under any circumstances, including yourself.
- Administer Perplexa products to any animal subject outside of properly authorized animal research.
- Use Perplexa products for medical diagnosis, treatment, prevention, mitigation, or cure of any disease.
- Use Perplexa products for cosmetic, aesthetic, or appearance-modification purposes.
- Use Perplexa products as dietary supplements, food additives, or nutritional products.
- Repackage, relabel, or resell Perplexa products.
- Misrepresent Perplexa products as approved for any of the prohibited uses.
- Use Perplexa products in any manner that violates federal, state, or local laws.
5. Perplexa does not provide usage guidance
Perplexa does not provide, solicit, or endorse any usage instructions, dosage guidance, or administration protocols for any products sold. Information published on the Site, on Certificates of Analysis, or in research references is provided for educational and research purposes only. It is not a substitute for advice from a qualified medical or veterinary professional.
If you experience an adverse event or medical issue, contact a licensed medical professional immediately. Do not contact Perplexa for medical guidance.
6. Acknowledgment of risk
You acknowledge that research compounds are not subject to the safety and efficacy testing applied to FDA-approved drugs. The effects of these compounds on living organisms are not fully characterized and may include serious risks.
You acknowledge that you are purchasing these compounds with full awareness of these risks and that any consequence resulting from misuse, including unauthorized human or animal administration, is your sole responsibility.
7. Assumption of liability
You assume all responsibility for:
- The proper handling, storage, and disposal of Perplexa products.
- Compliance with applicable laws, regulations, and institutional policies.
- Any consequences arising from the use, misuse, or distribution of Perplexa products.
- Any third-party claims arising from your activities involving Perplexa products.
Perplexa Labs is not liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from your use or misuse of any product, including damages resulting from any unauthorized human or animal administration.
8. Indemnification
You agree to indemnify, defend, and hold harmless Perplexa Labs, its parent and affiliated companies, and their officers, employees, agents, and representatives from any claims arising out of or related to:
- Your purchase, use, or misuse of any Perplexa product.
- Your violation of this Agreement, the Terms of Service, or any applicable law.
- Any administration of any Perplexa product to a human or animal subject by you or anyone obtaining the product through you.
- Any negligence or willful misconduct on your part.
This indemnification obligation survives termination of this Agreement.
9. Compliance with laws
You agree to comply with all federal, state, and local laws and regulations applicable to your research activities, including FDA regulations, DEA regulations where applicable, customs laws, OSHA standards, EPA waste disposal requirements, and IRB/IACUC approvals where applicable.
Perplexa is not responsible for your compliance with these laws.
10. How you agree to this Agreement
You are deemed to have agreed to this Agreement through a phased verification process. The specific phases depend on how you choose to complete your purchase.
Standard checkout path, email-based sign-in
Phase 1 — Site access: Affirmation that you are 21 years of age or older and that your intended use is in vitro / laboratory research, not human or veterinary application.
Phase 4B — Your details: First-time customers provide full legal date of birth and research context, drawn from the categories of academic researcher, lab researcher, clinical researcher, graduate-study researcher, or independent researcher.
Phase 4C — Final review and payment: Affirmation of two specific representations before placing your order.
Acknowledgment A: I confirm I am 21 or older and that the products in this order are for laboratory and in vitro research only. I will not administer them to a human or animal. I accept responsibility for proper handling, storage, and disposal, and acknowledge that Perplexa Labs bears no liability for unintended use.
Acknowledgment B: I acknowledge that Perplexa Labs supplies lyophilized research material only and does not publish, recommend, or imply any protocol for reconstitution, dosing, or administration. Any such information must come from independent research sources, not from Perplexa Labs.
By clicking Place Order, you confirm you have read, understood, and accepted this Agreement in full.
Express payment path, Apple Pay, Google Pay, or Shop Pay
Phase 1 — Site access: Same affirmations as the standard path.
Phase 3B — Pre-payment acknowledgment: Before the wallet payment opens, affirmation of the same two representations, Acknowledgment A and Acknowledgment B above.
Wallet authorization: By authorizing payment in your wallet, you confirm you have read, understood, and accepted this Agreement in full.
Post-purchase profile completion: Following an express checkout purchase, you will receive an invitation to complete your researcher profile by providing your date of birth and research context. Profile completion is required before any subsequent order.
Both paths capture the same two acknowledgments before payment authorization. The express path consolidates the acknowledgments into a single pre-payment moment but does not reduce your legal representations to Perplexa Labs.
11. Right to refuse or terminate
Perplexa reserves the right to refuse any order, cancel an order before shipping, terminate your account, and refuse future orders for any reason, including suspected violations of this Agreement.
12. Governing law and disputes
This Agreement is governed by the laws of the State of Nevada. Disputes are subject to the dispute resolution provisions of our Terms of Service, Section 14.
